01 Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Tactical Web Designs ("we," "us," or "our"), governing your use of our website at tacticalwebdesigns.com and any web design, development, or related services we provide.

By submitting a quote request, booking a consultation, making a payment, or otherwise engaging our services, you confirm that you have read, understood, and agree to these Terms.

02 Services

Tactical Web Designs offers the following services, as described on our website and confirmed in project agreements:

  • One-page and multi-page website design and development.
  • Local SEO setup and on-page optimization.
  • Google Business Profile setup and optimization.
  • Website hosting setup and configuration assistance.
  • Ongoing maintenance and updates (where separately agreed).

The specific scope, deliverables, and pricing for each project will be outlined in a project proposal or invoice agreed upon before work begins. These Terms apply to all such engagements.

03 Client Responsibilities

To ensure timely project delivery, you agree to:

  • Provide all required content (text, images, logos, branding assets) in a timely manner, unless content creation is explicitly included in your package.
  • Supply accurate business information, including name, address, phone number, and service descriptions.
  • Respond to requests for feedback, approvals, or clarifications within five (5) business days.
  • Ensure that any materials you provide do not infringe on the intellectual property rights of any third party.
  • Obtain any necessary rights or licenses for content you supply to us.

Delays caused by late content delivery or slow feedback may result in adjusted delivery timelines at no fault of Tactical Web Designs.

04 Payment & Fees

All pricing is outlined in your project proposal or invoice. Unless otherwise agreed in writing:

  • Deposit: A non-refundable deposit (typically 50% of the total project fee) is due before work begins.
  • Final payment: The remaining balance is due upon project completion and prior to final file delivery or site launch.
  • Late payments: Invoices unpaid after 14 days may incur a late fee of 1.5% per month on the outstanding balance.
  • Recurring fees: If your package includes monthly hosting, maintenance, or SEO retainer services, these are billed as agreed and must be cancelled in writing with 30 days' notice.

All fees are in USD unless otherwise stated. We reserve the right to suspend or withhold delivery of work until outstanding balances are settled.

05 Project Timeline

We aim to deliver completed websites within 7–14 business days of receiving all required content and the initial deposit, depending on project scope. Timelines are estimates and not guarantees.

Delivery may be delayed by:

  • Late or incomplete content from the client.
  • Significant scope changes requested after work has begun.
  • Extended revision cycles beyond the agreed number of rounds.
  • Circumstances beyond our reasonable control (e.g., third-party platform outages).

We will communicate any delays promptly and work to minimize their impact.

06 Revisions & Scope Changes

Each project includes a defined number of revision rounds as stated in your proposal (typically two rounds of revisions unless otherwise agreed). A revision round is defined as a single consolidated list of changes submitted after reviewing a draft.

  • Additional revision rounds beyond the included amount may be billed at our standard hourly rate.
  • Requests that materially change the agreed scope (e.g., adding new pages, changing the project concept) constitute a scope change and will require a revised quote.
  • Scope changes must be agreed upon in writing before work proceeds.

07 Ownership & Intellectual Property

Upon receipt of full payment, you will own the final website design and all custom code created specifically for your project. This includes:

  • HTML, CSS, and JavaScript files we write for your site.
  • Custom graphic elements designed for your brand.
  • Written copy produced by us on your behalf (if applicable).

The following are not included in client ownership:

  • Third-party fonts, icons, stock images, or plugins subject to their own licenses.
  • Proprietary tools, templates, or frameworks we use internally (if any).

You represent and warrant that all content you provide to us is owned by you or that you have the legal right to use it. You agree to indemnify and hold us harmless from any claims arising from content you supply.

08 Portfolio Rights

Unless you request otherwise in writing before project completion, you grant Tactical Web Designs the non-exclusive, royalty-free right to:

  • Display your completed website in our portfolio on our website and marketing materials.
  • Reference your business name and project type as a completed client work example.
  • Use screenshots or recordings of your site for promotional purposes.

We will not disclose confidential business information or proprietary details without your express permission.

09 Warranties & Limitation of Liability

We take pride in delivering quality work, but our services are provided "as is" without warranties of any kind, express or implied, including but not limited to:

  • Guaranteed search engine rankings or specific traffic results from SEO services.
  • Uninterrupted availability of third-party hosting, platforms, or tools.
  • Fitness for a particular purpose beyond the agreed project scope.

To the maximum extent permitted by law, Tactical Web Designs shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including lost profits or business opportunities.

Our total liability for any claim related to a project shall not exceed the total fees paid by you for that specific project.

10 Termination

Either party may terminate a project engagement with written notice. Upon termination:

  • You are responsible for payment for all work completed up to the termination date.
  • The initial deposit is non-refundable in all cases.
  • Any work product completed and paid for will be delivered to you.
  • Unpaid work product will be withheld until outstanding balances are settled.

We reserve the right to terminate an engagement immediately if a client engages in abusive behavior, requests illegal content, or materially breaches these Terms.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Tactical Web Designs operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation first. If unresolved, disputes will be subject to binding arbitration or the jurisdiction of the appropriate courts in our operating state.

These Terms represent the entire agreement between us regarding your use of our services and supersede all prior communications or agreements on the subject matter. We reserve the right to update these Terms at any time; continued use of our services constitutes acceptance of the revised Terms.
